and then comment whereas Mari Klein began her career in health care as a regional nurse moving quickly to the position of nursing executive at Pake General Hospital and then continuing her nursing leadership roles at Hospital Center in Orange and Overlook hospital and whereas in addition she was also an adjunct uh professor at Sean Hall University were distinguished author and researcher whereas in 2010 maryen was appointed to the president and chief executive officer at clar Mass Medical Center whereas she managed over 2300 employees including more than 700 Physicians and 750 nurses whereas president and CEO she oversaw all initiatives supporting the delivery of patient care Financial stability strategic planning Capital Improvements which I might add was a lot and her tender Renovations and new construction quality performance Improvement patient experience patient safety and communicate Community relation for the medical center and whereas under the leadership clar Mass has grown to become one of the the area's most trusted resource for many Medical Specialties including Orthopedics neurosurgery oncology Etc and whereas in her role as the hospital ministrator Mar marelen made it Priority her priority to see that all hospital patients were treated not only with the utmost professionalism but also with the kindness and compassion and whereas with the mindset at any time day or night Mar had taken calls from many of us when our loved ones were in need and quickly assured us that they would be well and cared for and attended to at the hospital now therefore it be be proclaimed by the mayor and the Board of Commissioners of Township of Nutley in the county of Essa state of New Jersey that Maran Klein's friendship and support to the township of Nutley and so our residents will always be remembered with true appreciation and affection be further proclaimed that the mayor and Board of Commissioners hereby extend on behalf of our grateful Community best wishes and most much continued success to our friend and her next chapter thank you I do so first of all I just want to thank the mayor for letting me read that Proclamation that's very nice of you John I don't know even where to begin Marion I got elected in 2008 2009 you were at the hospital and I I just have to tell you I've never met a nicer Kinder person in my life and I mean that you're a professional you you care which is kind of lost in America today um I often was there with um Dr Frank mazero who we both Miss dearly we have we've had a lot of laughs Through The Years a lot of sadness Through The Years together but I just want to reflect on how well you take care of strangers who are both our friends you know I would call you at any time of the day or night and you would pick up the phone with my own wife and my father the last few years have been really challenging um the recent one with my wife Fran how we got her out of Connecticut back to CLA mass is unbelievable and I say all the time to all my good friends because it's it's easy to knock the Board of Commissioners police departments and sure it's easy to knock hospitals but I always tell people you don't know where you're you're going to get until you see something else so you don't know how good you have it because I have to tell you when we were in Norwalk Connecticut my wife and ICU for all that time when we came down back to class it was like the Taj Mahal and there was nothing like being home with you know our friends and in closing I just want to say to you at one point I never forgot what you said to me a while back I and I think it was my father that time and God bless my father he celebrated his 89th birthday thanks to CLA Mass hospital for keep keeping him healthy and I saw you in the morning and my father went in to CLA mass at 2:00 in the at 2:00 at night 2:00 in the morning and you said to me why didn't you call me what I said you know mayor I was going to text you and I really didn't know and I didn't want to bother you at night and I'll never forget what you said you said don't text me call me and that speaks volumes for you it speaks volumes for the relationship we have um together and it's been a privilege and really I'm grateful to you and everybody at Clara mass and you know we send our ambulances to CLA Mass proudly I want to wish you the best of luck in your retirement and well wishes and I see that my good friend Dr Kelly's there with his wife too and let's give John a round of applause the mayor's the mayor's B and I was going to send a message home with your son doc but being you're here I just want to say how thank I am for your friendship and your professionalism and your help and I know and everybody on this board knows that Al trackco could be a little trying at times for your patients while you were away picking up your phone to help my wife out so I appreciate your help doc thank you thank you commissioner commissioner Scot pelly thank you mayor Mary Ellen uh I have to say your leadership at claras and through the Barnabas Health System um you've brought that hospital to a new level and uh through your leadership and uh I think now it's recognized as the best hospital in this area and that's due to your leadership and uh just to dovea a little bit on what the fishero said you know I had the opportunity to tour the new emergency room and the screening centers with the mental health board and uh Mary Ellen greeted everybody on the mental health board and gave them her card with her cell phone number on it and uh I got to say board was very impressed with that so uh thank you for all you've done and great and good things in the future with your grandchild and uh congratulations marielen I'm not going to repeat everything that everybody said uh I apologize for my voice I I'm just dealing with the tail end of a cold uh maybe Dr Kelly you could stick around for a minute so um you know the I think every executive recognizes that uh they only temporarily hold these positions right no matter where you are no matter what organization and I do believe that it is a Hallmark of leadership to understand that as a stewardship responsibility is that in whatever role and whatever capacity you leave an organization better than what you found it so that the next executive could take it to that next level and when you think about all of your accomplishments I believe that you can step into your next adventure uh with a sense of Pride associated with the fact that you've positioned claras to actually soar as we think about the Dynamics of of the future medical costs are are rising at exponential rates demands on doctors nurses administrative staff are ever increasing and to have an organization evolved during this time especially during covid right and evolved during co uh takes a strength of leadership so I congratulate you on what you've accomplished and uh enjoy your your next adventure thank you and I'll try not to uh be redundant but Maran if I could sum your career up or the last 15 years up in one word it would be transformative uh I remember going to the hospital as a uh young child with my father and it was the you know a small good hospital but you've turned it into uh as commissioner scarelli said one of the best if not the best hospital in the State uh I wouldn't even recognize it if I if I fell asleep 15 years ago and woke up today I wouldn't be able to point out that that's clar Moss because there it seemed like every day there was a new project new something new coming online uh and as commissioner Evans hinted a lot of Hospital Executives don't say in their position very long but the fact that you were there for a decade uh it speaks volumes to your leadership and what you your professionalism and what you you bring to the table uh but I think most importantly uh what we're going to lose out on in this community is that you've been a fixture in this community you've been at every parade you were the Grand Marshal of the same Patrick's Day Parade six seven years ago now uh and uh I hope you uh I'll extend you the invitation to come back and continue to be a fixture at those parades because you'll you'll be be sorely missed uh but I do want wish you well on your future and I'm excited to see what the next chapter brings for you uh so congratulations and this is a very well deserved honor do do you want to say a few words before we bring you up for a photo or I apologize for my retired apparel for tonight but I am am absolutely honored uh to be before all of you this evening it is really a labor of love at Clara moss and I think uh to the uh event that we really try to care about people as human beings to be available to Hanukkah and a happy and healthy healthy healthy New Year Mr Pat Peta I do have something so the big buzz and nutly and all over the state of New Jersey and part of America what's the buzz word Tom you know drones drones right so I just want everyone to not to know that my phone has been ringing off the hook that it's again not a part-time job for any of us um I've been taking calls till 2:00 in the morning on drone sightings our police department has been on the phone with FBI Homeland Security me personally um the information is very slow getting to any of the municipalities as you've seen on all the major networks um me personally I find it hard to believe that we could shoot a missile going 500 miles an hour maybe faster mayor you would know better than me from 100 miles off the coast of you know warship but we can't figure out where drones are coming from or going to and Landing so it's very very frustrating to us at the police department as well however we all have our thoughts on it um but the truth of the matter is as far as being the public safety commissioner and nutly we do not have any information except from the FBI saying that it is not a threat at this this time so they do have a a number to call FBI if you see a drone if you want to report it you could call directly to the FBI um I think that number is up on the website and that takes care of the drones for now you okay Tom so at any rate that's the Drone story for now um the other thing is we are noticing a tick up in a little bit of um you know car thefts again and uh things like that in nutly so you know again it's been way way down seems like this stuff ticks up during the holiday season so please lock your doors on your cars your houses don't leave your cars running with the keys in it I would say probably seven out of the 10 times the car gets stolen and nutly somebody's warming up their car the keys are in it and it's left unattended the other thing I just like to say and I'm sorry to be wrong winded is um the pedestrians you know as far as you know it's the holiday season I say this all the time we can't teach people how to you know stop back for walks for people crossing at the crosswalks all that is called as respect so please be respectful for people crossing and also I do want to say something to the pedestrians directly because I drive around all the time it seems a lot of times people are in these frws at night with all black clothing the other night not that I almost hit somebody myself however you know thank God I was alert and I was paying attention but people are like just stepping up into these crosswalks as pedestrians CU you do have the right away but wearing all black no reflectors on at night you know just take a pause and make sure the car sees you coming you know because again you do have the right away but if you get hit by a car and something happens what good is it saying that we had to right away so you know if you're walking around at night through the parks Crossing that like the biggest intersection and notle I I do see trouble with is by um Center Street by the park over there where it goes into is that Booth park over there right Park Drive Park Drive Right on Park Drive um you know it's it's it's it is a High um traffic area over there you know even the kids walking after school and I'm on that road a lot please because you have the right away please crossing the crosswalk a lot of people fall short of that and this be alert as a pedestrian to help help your own cause out because a lot of times it's difficult to see if a car is making a left there or a right so um you know let's all please be respectful I wish everybody a healthy happy prosperous Christmas and New Year thank you mayor thank you uh and as uh commissioner Evan said we had the tree lighting and that that's that's a team effort that's uh all Hands-On deck from all the different departments so I I do want to thank all the Departments and the commissioner Evans thank you mayor I have uh two ordinance for introduction both on behalf of the Board of Commissioners uh the first one uh is a second ordinance related to uh the acquisition of property uh that will ultimately be uh converted to uh use by the school uh so this ordinance is number 3575 uh this ordinance authorizes the acquisition of property an ordinance of the Board of Commissioners of the township of n in the county of Essex authorizing the acquisition of property identified as block 2304 lot 18 and lot 17 I move that this ordinance be passed to a second reading and advertis the nle son together with the notice required by law and that further consideration of said ordinance for final passage by the Board of Commissioners be held at its second reading on new owners uh for the Diamond Springs uh property so all this ordinance does is it's an administrative requirement to transfer uh the financial agreement which is the underlying pilot uh for the property from Diamond Springs real estate investment urban renewal Inc to Soho Park real real reality urban renewal Inc I move that this ordinance be passed to a second reading and advertised n son together with the notice required by law and the further consideration of said ordinance for final passage by the board of Comm Commissioners be held at its second reading on January 7th 2025 so move amend the the town code uh chapter 14 in to Solid Waste and Recycling particularly article two storage collection and Disposal uh as everyone knows we're uh making changes in the town and uh undergoing a new garbage system uh should say a new garbage uh hauling and Disposal system uh this this ordinance is uh the the changes are to reflect that uh I do want to say that before we open this up to a public hearing uh this ordinance will be be held we follow we'll follow us up with a resolution to uh H hold this ordinance in a bance for a period of 90 days while we work out I should all I should say what not the ordinance isn't being going to be held in Avance but the certain circumstances of the ordinance with respect to usage of the cart and trash being placed in the cart uh because I know there's going to be some Growing Pains we don't want anyone getting fined or have a very difficult time dealing with the new garbage system while we're still working out the Kinks and so for the the first 90 days we will be suspending certain portions of the ordinance just so that everyone can get used to the new system and have it uh grow on them and and uh everyone can learn it uh so without further Ado I will open the public hearing on ordinance number 3572 an ordinance to amend an ordinance codified in the code of the township of Nutley chapter 614 entitled solid waste recycling an amount of $314 is due to be returned after uh uh the net amount after a 20% application fees is withheld they further resolved by the Board of Commissioners the township of Melly County V the municipal permit fee of 314 be refunded to Sun Run installation Services Inc so move second commissioner Evans all commissioner scor pelly hi commissioner PCO hi mayor Kelly I um whereas New Jersey statute 54 col 433 provides that veterans War veterans who were honorably discharged for active service in a time of war in any branch of the armed services who have been or shall be declared by the United States Veteran Administration to be 100% totally imp permanently disabled connected with their wartime service a full tax exemption of their dwelling and lot on which it is situated the following taxpayer has filed an application and is fulfilled provided all the supporting documentation to be eligible now therefore be resolved by the Board of Commissioners the township of n county of essic state of New Jersey that Peter uh Masson be granted full tax exemption uh from the payment of property taxes from November 26 2024 and all subsequent years thereafter on the property identified as block 2401 lot 38 known as 25 Oakley terorist beid further resolved that the treasur is hereby authorized to refund $1,745 for property taxes for the year 2024 so move second commissioner Evans hi commissioner scarelli hi commissioner patr hi mayor Kelly thank you for your service I my next uh two ordinances uh two two resolutions address the ability of the government to operate uh beginning on January 1 2025 uh uh using uh temporary uh budget dollars which are authorized by Statute uh to cover our debt service principle and interest payments as well as cover our operating costs uh for that period of time whereas New Jersey statutes 48 col 4.19 provides where debt services to be paid on the 202 in 2025 prior to the time of the final adoption of the 25 budget temporary appropriation should be made for the amount of such thatb service in the manner and time therein provided whereas Deb service will become due during the first six months of 2025 not there be resolved by the Board of Commissioners of the township of Nutley that the following temporary appropriation be made for the accounts listed in the resolution uh total principal payments would be 1,992 3491 uh so move second commissioner Evans I commissioner scarelli hi commissioner Peto hi mayor Kelly I the same for our operating budget njsa 48 c49 of local budget law provides that a governing body May and if contracts commit contracts commitments or payments are to be made prior to the adoption of the 2020 B budget shall be shall by resolution adopted within the first 30 days of the beginning of the fisc Y make Appropriations to provide for the period between the beginning of the fiscal year and the adoption of the budget except that the governing body may make Appropriations during the last 10 days of the year preceding the beginning of the fiscal year for all interest in debt Redemption charges maturing during the fiscal year and we're njsa 48 col 419 PR provides that the total Appropriations shall be made not to exceed 26.2% of the total appropriation made for all purposes of the budget in the preceding year which means 2024 in both instances the Appropriations made for interest in debt Redemption Capital Improvement and public assistance whereas total Appropriations in 2020 for Less uh Appropriations made by for Capital Improvement fund Debt Service and public assistance are as followed current fund 55,57 46160 water utility 7,600,000 whereas 26 and a qu% of the total appropriation current fund is 14 4,589 6867 water utility 1,995, $191 63 now therefore be resolved by the board of Comm the following temporary Appropriations be made and that a certified copy of this resolution is trans transmitted to the chief final officer for her records for all of the township has a need to acquire the services of professional real estate appraiser to assist with real estate appraisals tax appeals and Tax Court appearances and to complete the necessary procedures to ensure the capture of added assessments arising from ongoing Improvement activities in the township as a non-fair and open contract pursuant to the provisions of njsa 19 colon 44A 20.5 whereas the tax assessor has determined and certified and writing that the value of the aggregate Services provided by the vendor for the year will exceed $30,000 Hendrick's appraisal company 7 Hutton Avenue in West Orange New Jersey has submitted a fee schedule for providing such Services the total of which will not exceed $40,000 whereas the anticipated term of the contracts is for 12 months beginning January 1 2025 through December 31st 2025 and funds will be available from account 50124 205 and will be certified by the Chief Financial Officer subject to the adoption of the 25 Municipal budgets whereas Hendrick's appraisal has completed and submitted a a business entity disclosure certification which certifies that they have not made any reportable disqualifying contributions to a political or candidate Committee in the township of Notting the previous one year and that the contract will prohibit them from making any reportable contributions through the term of the contract whereas the business entity disclosure certification and the determination of value will be placed on file with this resolution now therefore be resolved that the Board of Commissioners of the township of n sold uh and who and that new owner has undertaken the responsibility to develop the project now therefore be resolved by the Board of Commissioners of the township the assignment of the Redevelopment agreement and escrow agreement both dated July 6 2023b and the township uh between the township of Nell and Diamond Springs real estate investment uh renewal to Soho Park reality uh urban renewal B and is hereby approved be further resolve that Soo Park uh urban renewal LLC shall assume said R Redevelopment agreement and escrow agreement subject to all obligations requirements duties and International Association of EMTs and paramedics local R 2- 806 pending in perk docket number c-20 22207 whereas the International Association of EMTs and paramed local RT D 806 the union filed an unfair practice charge against tens on April 8 2022 in perk docket number co22 20222 207 alleging violations of the New Jersey employer employee relations act sections 5.41 2 5 6 and 7even whereas although the township denies and disputes the allegations contained in the UPC the Board of Commissioners has determined that it is in its best interest and and in the interest of the public to avoid the cost uncertainty uncertainty of litigation by achieving an amable resolution of of and all issues pertaining to the UPC now therefore be be resolved by the Board of Commissioners of the township of nle County V the state of New Jersey that t of Nutley be is hereby authorized to enter into a settlement agreement with the union for a payment of an account number 40131 4200 for the grant total of $14,000 from the township to the union in exchange for the union dismissing and withdrawing its pending UPC UPC and agreeing to complete release of claims and be a further resolve that the director of Public Safety is hereby authorized to execute the settlement agreement on behalf of the township of Nutley in form approved by the labor Council to the township I move it second commissioner Evans following organizations Yan cost school PTO and on premises 5050 raffle uh for Friday January 17th 2025 whereas the application has been reviewed and approved by by the municipal clerk and police department that therefore be resolved by the Board of Commissioners Township of Nutley County of essic state of New Jersey that the aform mention licensed is hereby approved and the municipal clerk is it's the Community Development block grant committee and I just want to congratulate uh Kathy roseski of commissioner Evans office uh she she was on on this committee this past year and she successfully advocated for us to get an additional almost $300,000 that we were not anticipating uh so we got uh addition Grant monies uh and so this this is the uh the importance of this kind of uh committee uh and this is be resolved by the board of commissioner Town Shelli County of Essex state of New Jersey that I uh John V Kelly and Kathy rensy be appointed as representatives of the Community Development block grant committee for the term of January 1st 2025 through December 31st 2025 second commissioner Evans hi Comm scarelli hi commissioner PCO hi mayor Kelly hi uh be resolved by the Board of Commissioners Township of Nelly County of es state of New Jersey that the township of Nelly shall apply for Community Development block gr monies for the year 2025 and whereas public hearings regarding Community Development block grant program was H held on November 26 2024 and December 10th 2024 at which time applications for Grants were accepted now therefore it be resolved that the board of now that now therefore it be resolved that the township submits the following applications for funding for 2025 reconstruction reconstruction and resurfacing of Margaret Avenue from Bloomfield to the end of the roadway West direction for $374,800 reconstruction and resurfacing of San Antonio Avenue from vanwinkle Avenue to the end of the roadway in the r direction for $13,570 couple of resolutions that I have on for this evening is uh uh I guess uh renewing our our shared service agreements and renewing C certain contracts with certain of our uh consultants and experts and uh so uh resolution number 369 uh this is a the uniform shared service agreement we have with the township of Bloomfield for the bloomfield's animal control services uh this it's going to expire our current contract will expire on December 31st 2024 and we're looking to renew uh for a period of three years from January 1st 2025 to December 31st 2027 uh and either party May withdraw withdraw from the agreement upon uh sufficient notice uh the services will be at a monthly cost of $6,495 whereas the funds will be available from count 5-1-1 34-29 and have been certified by the Chief Financial Officer so to the adoption of the 2025 Municipal budget May therefore be resolved that the township of nly County of es state of New Jersey does hereby authorize the mayor and the Township Clerk to execute Shar service agreement with the township of Bloomfield for animal control and animal cruelty investigative enforcement Services beginning January 1st 2025 through December 31st 2027 at a monthly rate of $6,495 with a 2% increase for 2026 and 2027 be further resolve that a copy of this resolution and agreement shall be kept on file with the municipal clerk office and a copy of this resolution shall be published as required by law within 10 days of its passage so moved second uh he just stepped out I I I uh the next one I have on is for uh special Development Council uh for non-fair and open uh contract as a professional Service uh whereas John angino of the law fir of angino and Taylor 600 pcip Road s 2044 precip newers 07054 has abling continuously provided these Services since October 1st 2013 and whereas JohnnyO has submitted the 2023 fee schedule to provide such Services an hourly rate of $250 an hour for Legal Services by attorneys an hourly rate of $100 for services by a paralal or law clerk whereas the contract will not exceed $95,000 for the period of January 1st 2025 through December 31st 2025 and are available from account number 5-01 d226 d205 which will be certified by the Chief Financial Officer said certification being subject to the adoption of the 2025 Municipal budget uh whereas the law firm of angino and Taylor has completed and submitted a business entity disclosure or certif certifies they have not made any disqualifying contribution to a political or candidate Committee in of nutly in the previous one year that would violate uh New Jersey statutes annotated 19 col 44 alpha- 20.5 and or the local units pay to play ordinance or Jersey election enforcement law commission disclosure requirements and the contract will bar John and Gino from making any reportable contributions to the term of the contract now therefore to be resolved at the Board of Commissioners the county AIC state of New Jersey contract for special Development Council Council as follows the mayor and Township Clerk are hereby authorized to and directed to execute seal and deliver a 2025 contract for professional legal services with John Eng Singo of enging Taylor at 600 pcip Road in precip New Jersey 07054 pursuing to a non-fair non-open process in accordance with New Jersey statute D 19 col 44 Alpha 20- 20.5 for a term beginning January 1st 2025 through December 31st 2025 at the state ality rates not to exceed $95,000 copy this resolution as well as the contract and business entity business disclosure entity certification business entity disclosure of campaign contribution shall be placed on file with the clerk a copy of the resolution shall be published as required by law within 10 days of it's passed it's so moved I I I uh the next one I have for this evening is for DMR Architects for architectural services uh whereas the township of noi has a need to retain Professional Services DMR Architects uh to provide architectural planning and Architectural Consulting Services Rel to the ongoing Redevelopment hofen on3 campuses whereas the contract is awarded without competitive bidding as a professional service in accordance with New Jersey statue anotated 19 col 44 alpha- 20.5 of local public contracts law uh the Board of Commissioners determin DMR uh located at 777 terus Avenue 6th floor hasburgh Heights New Jersey 07604 is qualified and best suited to provide these Services where DMR has completed and submitted a business entity disclosure certification with certifies n has made which certifies that it has not made any reportable disqualifying contributions to a political or candidate committing the township of Nutley in the previous one year and the contract will prohibit them from making any reportable cont contributions through the term of the contract ver funds are available from 5-01 d226 d205 and will be certified by the Chief Financial Officer said Serv asion being attached to this resolution and will be reimbursed by escrow account set up by the redeveloper of the subject property whereas DMR has submitted a proposal for services in accordance with the proposal perform will perform services at as a cost not to proceed not to exceed $ 7332 and whereas an anticipated term of the contract is for 12 months January 1st 2025 through December 31st 2025 and therefore be resolved at the board of commission's Township County es state of New Jersey that the mayor is hereby authorized to enter into a contract with EMR as a service in the amount of not to exceed $733 copy this resolution as well as the contract shall be placed on file with the clerk of the township of Nutley and notice in accordance with the local public contracts law of the state of New Jersey shall be published in nutly Sun as so moved second I I I uh and the next one is for our our Township uh zoning board uh an independent planner uh whereas the township Noy has a need to acquire Services of an independent planning expert to assist the Zoning Board of adjustment and it's non-fair open contract pursuant to the provisions of New Jersey statute annotated 19 colon 44 Alpha 20.5 uh whereas the Zoning Board of the township wishes to retain uh Paul Ricky aicp PP of Ricky planning uh 175 Mammoth Avenue Atlantic Highlands New Jersey and is willing to provide such uh provide such an expert review of plans application other documents as and matters submitted before the board to be paid at a rate of $150 per hour whereas the anticipated term of this contract from January 1st 2025 through December 31st 2025 where funds are available from applicants escort deposits developers accounts uh and now therefore be resolved at the Board of Commissioners T of n county vasic state of New Jersey authorizes a contract of rookie planning to assist zoning Board of adjustment with respect to application submitted and be a further resolve the business entity disclosure certification the determination of value will be placed on file with this resolution be a further resol the notice of this action shall be printed in not sun in accordance with local public contract will also moved when you're ready all right we're we're back on the the record it's 90 eight eight uh and we have one final resolution to cover and this is a resolution by myself on behalf of the board of the Commissioners and at this time I'll turn it over to our Redevelopment Council John engino to talk about what this resolution is appr a a Redevelopment agreement this is a a resolution to authorize and approve uh a Redevelopment agreement between the township and Nutley Town Center redevelopers urban renewal entity LLC uh concerning the uh the chicolini site and other out Parcels there for the Redevelopment of that property uh just very brief history on this the Commissioners had initiated the Redevelopment process uh uh back in October of uh 2020 and adopted redevelop plan back in February of 2022 so the zoning in the Redevelopment plan and the project uh is in place uh this developer was designated on a short-term basis at the end of of 22 and so tonight is the the permanent or long-term Redevelopment agreement between the township and the redeveloper it's a contract between the town and the redeveloper uh and this entity is an affiliate of Joseph forjan who is the principal of the Redevelopment uh company and uh it consists of not only the chicolini uh parcel but also some other out Parcels that are in the area which he has assembled uh to provide a a particular project uh now as part of uh of this property assemblage the redeveloper has agreed to buy or purchase the uh the chicolini site from the township for a price of $4.5 million and that is set forth in the Redevelopment agreement significantly the redeveloper has agreed to construct the project in accordance with a very strictly uh constructed uh project schedule we know that it's important for the municipality that this project actually get done uh and that it get done in a timely fashion uh construction projects can be complicated and they're not they don't happen overnight by their nature um but a lot of time and attention was paid in this agreement to making sure uh that this project would be constructed as quickly as possible uh there is uh the project just uh just to refresh everyone's recollection consists of a demolition of existing improvements it's a mixed use building with 161 units um there's a minimum of 11,000 square ft of retail there's a parking deck with 292 spaces 75 of which will be dedicated to the public use so that's public structured parking of 75 uh parking spaces with an additional 50 additional surface uh public parking spaces as well uh to assist the public in the area uh there's also a minimum of 5,000 square ft of contiguous open space as part of this project which will be parklike uh with streetscapes and uh attractive landscaping and the like and a requirement for a restaurant to actually front uh the open space uh you've seen the project it's a very attractive project um in addition to that the redeveloper will be paying the township another sum or additional sum of $1 million over and above the $4.5 million and that is for the relocation of the hmat U of the Hazmat buildings uh relocation now there are some notable Provisions in here uh the redeveloper will have an opportunity to do some environmental uh due diligence he must close on the out Parcels it's not just chicolini but certain other properties uh right in that area uh there's a provision in here which obligates the redeveloper to reimburse the town for professional fees and there are various other Provisions in this rather thick document concerning things like covenants and restrictions and indentification and insurance and permitted transfer rights and remedies and mortgages provisions and the like uh which I know we've been through um u in attorney client privileged Communications um but all of those uh issues are all covered I do want to stress again though that there is a schedule here that is detailed uh that must be adhered to so that the project gets constructed and there will be bonding and all of the other protections uh that are in place for the municipality it's been a rather protracted uh negotiation uh and as a practitioner I want to say that I appreciate all of the time and the attention that all of the Commissioners have given uh to this agreement the community has been really well served by all of your active engagement in it and uh I think and hope and trust that it's going to be transformative for the downtown and uh so that's my public explanation I'm certainly happy to answer any questions that anyone may have uh does anyone have any questions for John okay well merry Christmas happy New Year happy holidays just want briefly uh commissioner Evans do you recall what we purchased the property for the Chen site yes well I'll get closer to the mic uh we purchased the property for 3,4 25,000 uh uh which is strictly the chicolini property uh with the uh surrounding parking lot right around that that that block there's three separate Lots uh we financed it we took out oneyear notes with rates that were incredibly low uh some years was a half a percent uh and we fully paid off the debt on that property uh within I believe it was three years so so the total value cost to the township uh was uh in a neighborhood of about 3.6 million and the total compensation we're getting Mr engino is about five and a half million for the property it's 4.5 for the property plus a million dollars for the uh the relocation of the Hazmat so and then you add to at the 50 the cost of 50 additional public parking spots which we didn't have before the 75 units replaces the existing public parking that we have so we're not losing any parking we're adding parking and we're adding a green space so all of that is valued for us right you anticipated my next question which I was going to address to commissioner scarpelli was how much parking is there and how much parking will we end up with okay we'll uh we'll replace all the parking that we have now I think it's interesting to note is that um back when we purchased the chicolini property uh we are achieving those goals as as we speak we preserve parking down there for the last 10 years uh which has helped to some new businesses uh come into being there and uh we also are wanted to control what went there and we're doing that through this Redevelopment agreement so I think it's very important that uh although it's taken some time that we are getting where we started where we wanted to go when we started this project so uh I think that's very important and um preserving that parking down there for the Redevelopment and the further development of Franklin Avenue is very important and uh the open space obviously is something that we all took time uh and efforts and took some rides all over the state to see what we wanted there and putting that Park like structure down there with that open space right on Franklin Avenue is something that we desired and having a restaurant that opens up onto that for some outdoor seating I think is going to be a tremendous boost to that end downtown so I think uh whatever we uh started some 10 years ago we are accomplishing and can I can I add that um you know the chicolini property before we purchased it uh was paying about $40,000 a year in property taxes uh the other properties that are included in this in total it's about $153,000 a year so once we get The Upfront money there is a pilot agreement that exists on the property for the next 30 Years and over the life of that pilot we receive significantly more with uh the average revenues increasing from that 153 roughly a year to to uh over $650,000 a year and rising over the course of the 30 years so the revenue stream is improved uh significantly uh more than roughly more than five times uh what it was uh and and the other thing to point out is we're taking 75 surface spots and moving them into a structured Garage in the cost of that construction to allow that to today's dollars it's about $35,000 of space uh to do that surface parking is about $15,000 of space so when you add all of those components together um I think we did worked really hard uh and not not to mention all of the the conditions that are placed and what are the quality of the materials that have to go into the construction of the building I think it's it's quite an achievement that that's a great point and then that was the point of this is I just wanted to express you know Nutley not being taken advantage of here we're coming out better and stronger than we were before we're getting a return on our investment we're getting a continuing dividend in terms of the pilot program we're getting more parking uh this is a great deal for Nutley and uh so unless there's any further I I just like to have one thing mayor myself very briefly I I happened to be the mayor at the time when we purchased that property and it was very um conflicted doing that and the Board of Commissioners I myself took a lot of heat at the time that we're not in the real estate business and um you know not not not not the best thing for our political careers moving forward at the time for sure but U my good friend Joe carpelli to my right always said that leaders lead and I am of the same opinion that I was back then that this was a must need for our Township if you know if we didn't get the right development there and and obviously get the part in that you know our downtown business area was struggling at you know at the time and we continue to strug struggle I think that we this board had a lot of vision and we took the punches and I think that um moving forward we're going to be in a much much better spot you know to do business down there and to attract U good people um times are changing you know apartments are still uh a Hot Topic here in nutly and I believe that you know kids today I have kids that are of that age now they don't stay in one place you could attract good good um good good people um they move around today with different jobs all that stuff so we can really attract good people in these apartments that are there and now you're going to have a well of people to to come down those stairs and shop nutly and really really you know you rais really I think important Point uh yes the to step out and purchase this to step up and do this I agree we all took a lot of heat for that you know me a lot because of the of the of the money uh but what we we don't focus in on is prior to declaring it in need of Redevelopment the chicolini property itself would would have accommodated over 120 units good point which uh which would have they would have put on some underground parking which would have eliminated the available use of the chick what we know as the chelini parking lot would have eliminated all of that public use space for us without any uh ability to improve uh the the property and they could have built something without restriction of a building that would be a wallscape straight up right and uh it would not be it be something you would like to see you would probably get a customer seeing in New York City but you would never want to see here so our action at that time was to intervene and stop a transaction that was about to take place so so it took a while you know for a lot of reasons but the impetus was there for us to act and I think to agree with you uh it took a lot of courage to do that thank you that's all I have mayor yes and I just want to note that uh you know I came in in the second half off the bench here so I do want to congratulate all the uh all of you my fellow Commissioners on you know having the vision and the foresight to see this through and congratulations on uh getting this uh big win for the town in the win column uh so without further Ado uh I'm just going to read this by the title a resolution of the Board of Commissioners authorizing the execution of a Redevelopment agreement with the Nutley Town Center redevelopers urban renewal entity LLC uh and uh now therefore be resolved by the Board of Commissioners of the
